Subscription conditions

1. SUBSCRIBING PROCESS AND DRAFTING THE FINANCIAL MODEL

Subscribing process

In order to use the Application and thus develop and manage the financial model relating to your business (“Model”), you will have to

1. register on the Site and access your personal account (“Account”), as indicated in the Terms of Use accessible from the footer of the Site or at grandifinancialcontrolservices.com/account/
2. Purchase one of the subscriptions we offer, under the conditions set out below. Please note that you can purchase a Subscription either before starting to use the Application or afterward, that is, after entering the data requested by the Application into the tables, but within 24 hours of your registration. After this deadline, if you have not purchased a subscription, the data entered in the tables will no longer be available and will be deleted. To purchase a Subscription—and therefore create and manage your Model—you must select the shopping cart icon in the Site navigation bar or click the “Buy Now” button on various pages of the site, including “Home,” “Input,” and the “Model A” and “Model B” pages. These latter pages are accessible from the “Model” page. The duration and prices for each Subscription are shown on the store page. As further described on the website pages and in the guided compilation procedure, each version of the Model consists of three statements: Income Statement, Balance Sheet, and Cash Flow Statement. Currently, the Model versions differ in the way they value the costs of quantities sold and inventory, to take into account the specific type of business.
3. Select the type of subscription you prefer from the options available and, once redirected to the Order Summary page, enter the data requested by the system to complete the purchase. We invite you to carefully verify the accuracy of the information entered in your Account and the data entered for the purchase of the Model before proceeding to the checkout. Please remember that we will communicate with you through the address you provide. Therefore, if you provide an incorrect address, we will not be responsible for failure to receive communications.
4. To complete your Subscription purchase, you’ll need to select your payment method, read and accept the website conditions and terms of use and click on the “Buy now” button. You’ll be redirected to the payment system’s page where you’ll need to enter the required information and submit the payment. Once you’ve submitted the payment, you’ll no longer be able to cancel or modify your order. If the transaction is successful,
   • you can view the three statements on the “Model A” and “Model B” pages, which can be selected from the “Model” page submenu. The “Model” page can be accessed from the navigation bar or within the pages containing the input tables;
   • we will send you an email confirming payment to the address you provided when registering your Account (“Payment Confirmation”);
   • you will be able to proceed with updating the Model by entering the data in the appropriate tables for the period of time established by the Subscription option you purchased.

Drafting the Model

1. Depending on your business type selection, the application will display tables containing fields related to your business. If any data related to your business is missing from the displayed tables, you can access the complete list of tables by selecting “Input” from the navigation bar.
2. When drafting the Model, please pay close attention to the instructions provided by the Application and the required data. The Application will not perform any checks on the accuracy of your input and will not be able to detect any errors in the fields you fill in.
3. While and after completing the table fields, you will have free access to the “Check Result” page, accessible from the navigation bar, where you can monitor some of the Model’s results. Please note that these results are to be considered partial until you have completed all the fields pertaining to your business. They provide a limited indication of the completeness and accuracy of the data entered. Therefore, please refer to the Model’s review in its entirety.
4. CONTRACT COMPLETION AND DURATION
   1. The Subscription purchase contract (“Contract”) will be concluded only if the entire procedure described in Article 1 – Subscribing process above is completed regularly – without any error notifications from us – and the Payment Confirmation has been sent to the email address you indicated.
   2. Once you purchase a Subscription, you will be able to create and manage your Template for the duration of the Subscription. After this period, you will no longer be able to access, manage, or modify the Template. You may renew your Subscription by purchasing a new one, subject to the applicable terms and conditions.
5. MODEL FEATURES

The Application is a service that allows users to independently and in real time develop a financial model aligned with their business activity. As such, it is characterized by two main factors:

1. 1. approximation in the valorization of some items (necessary in order to adapt the model to the different cases that may be presented);
   2. indipendence in filling in the required fields by the user (as the intervention of a professional is not required), with the consequence that any incorrect data entered cannot be detected and therefore corrected by us.

4. PRICING
   1. The prices of the Subscriptions are those reported on the shop page of the Site and are expressed in euros (“Prices“).
   2. The price of the Subscription you requested is summarized on the Order Summary page. If you do not wish to continue with the purchase, you can cancel the purchase at this stage until you have entered your payment information in the appropriate fields and selected the “Buy now” option. In this case, you will not submit any Subscription request and will not be able to create any Templates; therefore, you will not be charged any fees.
5. PAYMENT
   1. For purchases made on the Site, we accept payments only through the platform indicated by us.
   2. By proceeding with payment using the method you have chosen, you confirm that you are the owner.

4. LIABILITY

By using the Application you confirm that you are aware

1. of what is clarified in Article 3 – Model features above and, in particular, of the fact that the Models are the result of self-compilation by you and approximation of the entries set by us in order to allow application to extremely different case;
2. that the Models are merely indicative: the results of actual activity could therefore differ from their content;
3. that the Application does not in any way replace specific advice tailored to your actual needs.

We would like to point out that our obligations consist in creating Models based on the data you enter and taking into account assumptions and simplifications.

Except in the case of wilful misconduct or gross negligence, therefore, we cannot be held liable for any losses suffered, lost profits or any other damage that is not an immediate and direct consequence of our proven breach or that was not foreseeable at the time of conclusion of the Contract, as better clarified in this Article.

7. FINAL PROVISIONS
   1. These Subscription Conditions and the Contract stipulated on the basis thereof represent the entire agreement between us and users for the use of the Application (and therefore the generation of the Models) offered by the Site, there being no further document that may derogate, integrate and modify the general and specific rules of use of the services.
   2. Any deviation from these Subscription Conditions and the related Agreements must be formalized through a document signed between us.
   3. In the event that any clause is found to be null or ineffective, such nullity or ineffectiveness shall not extend to the remaining contractual clauses.
   4. We reserve the right to terminate any relationship that may arise under these Subscription Conditions at our sole discretion, by giving you notice.
   5. Our failure to exercise any right does not constitute a waiver of our rights in respect of any breach of our obligations.
8. REFERENCE

For anything not expressly governed by these Subscription Conditions, please refer to the Terms of Use.

9. JURISDICTION AND APPLICABLE LAW
   1. The law applicable to these Subscription Conditions, as well as to all legal relationships with you and connected to the use of the Application, is Italian law, with the express exclusion of the rules of private international law relating to conflicts of laws.
   2. Since the subscription and use of the Application are aimed at a business audience, consumer protection regulations do not apply.
   3. The Court of Milan shall have jurisdiction over any dispute relating to the application, execution, or interpretation of these Subscription Conditions.

10. TRANSLATION

These Subscription Conditions were originally written in Italian. We may translate them into other languages, and in the event of a conflict between a translated version of these Subscription Conditions and Italian version, the Italian version will prevail.

By accepting these Subscription Conditions, by checking the appropriate checkbox on the terms and conditions, you expressly confirm that you have read and agree to the following clauses:
